TENDER NOTICE
The Municipality of the City of Székesfehérvár, as the sole owner of “FEHÉRVÁR F.C.” Sports Services and Commercial Limited Liability Company (registered seat: Hungary, 8000 Székesfehérvár, Csikvári utca 10; company registration number: 07-09-006369; tax number: 11604873-2-07; hereinafter: the Company), hereby announces a two-phase public tender for the sale of its business share in the Company.

DETAILED PUBLIC TENDER NOTICE
For the first phase of the tender procedure conducted for the sale of the business share owned exclusively by the Municipality of the City of Székesfehérvár in “FEHÉRVÁR F.C.” Sports Services and Commercial Limited Liability Company
I.
1.
The issuer of this tender: Municipality of the City of Székesfehérvár (registered seat: Hungary, 8000 Székesfehérvár, Városház tér 1; registering authority: Hungarian State Treasury; public register ID: 726995; statistical code: 15726999-8411-321-07; tax number: 15726999-2-07; represented by Dr. András Cser-Palkovics, Mayor)

The Municipality of the City of Székesfehérvár (hereinafter: the Municipality or Tender Issuer) intends to sell its business share in “FEHÉRVÁR F.C.” Sports Services and Commercial Limited Liability Company (registered seat: Hungary, 8000 Székesfehérvár, Csikvári utca 10; company registration number: 07-09-006369; tax number: 11604873-2-07; hereinafter: the Company). The Company operates a men’s senior football team under the name Videoton FC, participating in the Hungarian national second division, as well as a women’s senior football team and youth teams.
The Municipality does not exclude the possibility that the purchaser may acquire ownership of the Company in several instalments, provided that full ownership is obtained within five (5) years.
The Municipality also does not exclude the possibility that it may retain a minor ownership interest in the Company.

The goal of the Tender Issuer is to conclude the second phase of the tender procedure, including contract signing, by 30 June 2026.
If the purchaser acquires ownership of the Company in several instalments, a single contract shall be concluded covering all tranches of ownership transfer, specifying the detailed parameters of the transaction.
4.
Pursuant to Section 86(1)(f) of Act CXXVII of 2007 on Value Added Tax, the sale of the business share in the Company shall be exempt from VAT.
II.
1.
The sale shall take place through a two-phase tender procedure.
This document constitutes the detailed tender notice for the first phase of the procedure.
2.
The tender notice and detailed terms of the second phase shall be determined based on the valid offers submitted in the first phase and may include modified conditions.
The second-phase notice shall be published no later than 30 days following the announcement of the results of the first phase.
Participation in the second phase is open to all tenderers (“Tenderer”) who:
- submitted a valid offer in the first phase, and
- comply with, and undertake to fulfil, the requirements set out in the second-phase detailed notice.
The offers submitted in the first phase shall be deemed non-binding.
Tenderers may submit an offer in the second phase, differing in content from that submitted in the first phase.
There is no binding commitment in the first phase, and a Tenderer who submitted a valid offer in the first phase is not obliged to participate in the second phase.
3.
During the first phase, communication between the Municipality and the Tenderers shall be conducted via e-mail, while submission in hard copy is also permitted as specified in Section VI.2.

Upon request, the Tender Issuer shall provide acknowledgement of receipt by e-mail. The Tender Issuer accepts no liability for any technical errors or delays arising from e-mail communication.
The Tender Issuer hereby informs Tenderers that messages of up to 30 MB can be received.
If a submission exceeds this limit, it must be sent in several parts, with the sender indicating the total number of parts in the first message. All parts must be received within the submission deadline.
III.
1.
Tenderers who have signed the Confidentiality Declaration attached as Annex 1 may review basic information concerning the Company in the electronic data room accessible via a link provided.
Tenderers who have signed the Confidentiality Declaration and paid the tender deposit referred to in Section IV.1(f) may access additional detailed information about the Company in the data room via the same link.
In both cases, the link will be provided electronically by Dentons Europe Consulting Zrt. (hereinafter: Dentons), acting as the authorized representative of the Municipality.

The completed and signed Confidentiality Declaration must be sent by e-mail to: mark.vaczi@dentons.com.
IV. Conditions for participation
1.
Eligible participants include:
- any natural person, sole entrepreneur, or legal entity qualifying as a transparent organization under Section 3(1)(1) of Act CXCVI of 2011 on National Assets;
- multiple Tenderers may jointly submit an offer, provided that each independently fulfils the condition set out in Section IV.1(d) and submits the documents referred to in Sections V.1(e), V.1(f), and V.1(g) separately;
- a Tenderer may designate another entity as purchaser in the second phase, provided that:
- the designated entity is wholly owned by the Tenderer, complies with all conditions set out in the second-phase notice, and undertakes all obligations specified therein (except those related to offer submission), or
- the designated entity will be established by the Tenderer after being declared the winner of the second phase, provided that it is wholly owned by the Tenderer and fulfils all conditions of the second-phase notice, undertaking all obligations except submission-related ones (e.g., tender security).
Further requirements:
- submission of the Confidentiality Declaration described in Section III.1;
- commitment that the purchaser shall provide at least HUF 1 billion net annually to the Company for a period of five (5) years, increasing each year from the second year onward by the consumer price index published by the Hungarian Central Statistical Office (KSH) under table “1.2.1.2 Consumer Price Index by Main Groups of Consumption and Pensioners’ CPI, Monthly – Total column, year-on-year”;
- payment of a tender deposit of HUF 50,000,000 (fifty million forints) or EUR 130,000 (one hundred and thirty thousand euros) to the Municipality’s account at Raiffeisen Bank Zrt.

- The Tenderer shall write in the reference section: “Tender deposit for offer to purchase business share”.
2.
The tender security shall be refunded without interest within 30 days following the announcement of the first-phase results to the account from which it was transferred.
If the Tenderer requests repayment to a different account, this must be specified in a written declaration indicating the financial institution and account number.
V. Validity of the tender offer
1. Mandatory contents
The tender offer must include:
- proper identification of the Tenderer, including:
- for legal entities: company registration number (or equivalent), tax number, legal representative, telephone number, registered seat, and e-mail;
- for natural persons: personal data (name, birth name, place and date of birth, mother’s maiden name), telephone number, residence, correspondence address, and e-mail;
- for sole entrepreneurs: entrepreneur ID number and the same personal data as above;
- Proof that the tender deposit, as referred to in Section IV.1(f), has been paid into the designated bank account within the deadline;
- a description of the concept or plan for the operation of the Company (see Section V.3);
- a declaration confirming the Tenderer’s undertaking that the purchaser of the Company shall provide the Company with financial resources of at least HUF 1 billion net per year for five (5) consecutive years, it being understood that, from the second year onward, this amount shall increase annually by the rate of change in the consumer price index published by the Hungarian Central Statistical Office (KSH) under table “1.2.1.2 – Consumer Price Index by Main Groups of Consumption and Pensioners’ CPI, Monthly – Total column, based on the same period of the previous year”;
- in the case of a legal-entity Tenderer, a declaration confirming that the Tenderer qualifies as a transparent organization within the meaning of Act CXCVI of 2011 on National Assets;
- in the case of a legal-entity Tenderer, a copy of the authorized representative’s certified specimen signature, either notarized or attorney-attested, or other official proof of signature in accordance with the law applicable to the Tenderer; and
- a declaration by the person acting on behalf of the legal entity confirming that their representative authority is valid and in effect.
2. Optional contents
The offer may also include:
- a description of the Tenderer’s business activities and financial position including source of funds;
- an indication of the percentage of the business share in the Company the Tenderer intends to acquire;
- the purchase price of the business share to be acquired and the proposed payment schedule.

It is recommended that the concept or plan for the operation of the Company address in particular the following areas:
- if the purchaser intends to acquire the Company in instalments, a description of the schedule and method of such phased acquisition;
- a presentation of the purchaser’s concept for the Company’s financial management and the securing of financial conditions;
- an indication of the form of guarantee or security ensuring fulfilment of the financial commitment described in Section V.1(d);
- the proposed name, crest, and colours of the football team;
- the intended corporate form of the Company;
- the concept regarding fan participation;
- the planned form of communication and engagement with supporters;
- the proposed use of Sóstói Stadium;
- the proposed use of training and youth football pitches;
- the concept for the operation of the men’s senior football teams;
- the concept for the operation of youth development programmes.

The offer may be submitted either in Hungarian or in English.

An offer is valid only if it fully complies with all the conditions set out in this detailed tender notice.
6.
The submission of a tender offer shall automatically constitute confirmation that:
- the Tenderer has understood and accepted all conditions set out in this detailed tender notice;
- the Tenderer has reviewed the data available in the data room referred to in Section III.1;
- the Tenderer consents to its offer being made available to the members of the decision-making body, the members of the committee and working group involved in the evaluation, the designated staff of the Mayor’s Office of the Municipality of the City of Székesfehérvár, and other persons acting on behalf of the Municipality;
- the Tenderer acknowledges that, pursuant to Section 3(5) and Annex 1, Part II, Point 8 of Act CXII of 2011 on Informational Self-Determination and Freedom of Information, as well as Section 52(3) of Act CLXXXIX of 2011 on Local Governments of Hungary, the decision on the outcome of the tender procedure is public information;
- the Tenderer acknowledges that the Municipality is entitled to inform the public about the tender procedure.
VI. Submission of tender offers
1.
The deadline for submission of offers is 10 December 2025 at 12:00 p.m. (Hungarian local time).
2.
Offers shall preferably be submitted in person, including through an authorised representative, in paper form. The offer shall be submitted in two intact sealed envelopes at the Secretariat of the Honorary Chief Notary of the Municipality of Székesfehérvár, address: 8000 Székesfehérvár, Városház tér 1, 1st floor, Room 106, during office hours: Monday to Thursday between 8:00 and 16:00, and Friday between 8:00 and 12:00.
The envelope shall be clearly marked: “Tender offer for the purchase of the Company.”
All pages of the paper submission must be bound together, and each page containing any data, text, drawing, or other information must be initialled by the authorized representative of the Tenderer.

The Tender Issuer also permits the electronic submission of offers to the following e-mail address: fehervarfc@szekesfehervar.hu. Upon request, the Issuer will send an acknowledgement of receipt confirming delivery of the e-mail. The Issuer accepts no liability for any technical errors, delays, or deficiencies arising from electronic submission.
VII. Announcement of the results of the tender procedure
1.
The offers shall be evaluated by the General Assembly of the Municipality of the City of Székesfehérvár within 45 days following the expiry of the submission deadline.
The Tender Issuer may extend this evaluation period once, by a maximum of 30 days, and all Tenderers shall be notified of such extension.
2.
The criterion for evaluation shall be the fulfilment of the conditions specified in this detailed tender notice. If several offers meet the requirements set out in the detailed notice of the first phase of the tender procedure, then all Tenderers who submitted valid offers shall be entitled to participate in the second phase and submit new offers accordingly.
3.
Tenderers shall be notified of the decision on the outcome of the tender within 15 days following the evaluation.

The Tender Issuer reserves the right to declare the tender procedure unsuccessful without providing justification. This notice does not constitute a binding offer to conclude a contract.
The Tender Issuer may withdraw this notice up to the submission deadline.
The Tender Issuer may amend the tender conditions up to 20 November 2025, in which case information shall be provided in the data room referred to in Section III.1 and on the official website of the Tender Issuer.
VIII. Other provisions
1.
If a tender offer is incomplete, the Tender Issuer shall, within three (3) working days after the submission deadline, send a request for rectification by e-mail to the Tenderer.
The Tenderer shall have three (3) working days from receipt of such request to complete the rectification. The Tender Issuer accepts no liability for any technical errors, delays, or deficiencies arising from e-mail communication. A rectification request shall be deemed delivered on the day following its dispatch.
The following items cannot be corrected as part of a rectification:
- the name or electronic contact details of the Tenderer;
- the certificate confirming payment of the tender security referred to in Section IV.1(f) into the designated bank account within the deadline;
- the description of the concept or plan for the operation of the Company.
2.
If the offer contains any data which, in the event of a public information request, would cause disproportionate harm to the Tenderer’s business operations, this must be explicitly indicated in writing in the offer, identifying both the data concerned and the reason for the potential harm.
If no such indication is made, the Tender Issuer shall consider that the offer contains no data the disclosure of which would cause disproportionate harm to the Tenderer’s business interests.
3.
Information on data processing related to the tender procedure is contained in the Privacy Notice prepared for the first phase of the tender procedure concerning the sale of the business share in “FEHÉRVÁR F.C.” Sports Services and Commercial Limited Liability Company.
4.
Questions related to the tender may be submitted by e-mail until 24 November 2025. The Tender Issuer shall place all questions received and their corresponding answers in the data room by 1 December 2025. The Tender Issuer accepts no liability for any technical errors, delays, or deficiencies arising from e-mail communication.
5.
The properties used or leased by the Company may be inspected on 20 November 2025 from 9:00 a.m., following prior registration sent to mark.vaczi@dentons.com (Dentons).
